Welcome aboard

This Agreement is between David Gutierrez, doing business as Star Kids Robotics ("Star Kids Robotics," "we," "us"), and the person who signs below ("Client," "you"). It starts on the date you sign it.

1. What we provide, in three phases

Phase 1, Setup (starts when you sign and make Payment 1)

• We build your website with online registration and payments, using your business name, your logo and the colors you choose. It runs on your own domain and hosting, and parents' payments go directly to your own payment account.
• We help you choose the schools and communities where you will teach.
• We plan a robot fleet that fits your budget, using options such as 3D printed parts, low cost boards like the ESP32, or robots you already own.
• An onboarding call, then live online training twice a month on StarCode, coding and robotics.

Phase 2, Launch (starts with Payment 2)

• We hand everything over to you: your website goes live and your classes launch, so you can start taking registrations and earning right away.
• Starter lessons for your first classes, teaching Python, C++ and Java, aligned with NGSS and ISTE standards.
• Live online training continues twice a month.

Phase 3, Grow and Scale (starts with Payment 3)

• Getting into schools: how to pitch principals and parent groups, school and district vendor paperwork, insurance and fingerprinting.
• The full curriculum library: complete multi-week class and camp plans in Python, C++ and Java, with the standards for each.
• Teaching skills: running a classroom, pacing lessons and running camps.
• Growing your business: hiring and training your own instructors, marketing, and setting your prices.

StarCode: you get free access to StarCode, our coding software. The StarCode Learn plan is a separate, optional paid plan at its listed price and is not included in this Agreement.

2. What you provide

• A background check through our screening partner, paid by you, with the results sent to us (see section 4).
• Your own domain, website hosting and payment account (for example Stripe, PayPal or Square).
• Your own robots, parts and equipment.
• Any business licenses, insurance, permits or fingerprinting required where you teach.
• Timely replies, and attendance at your onboarding call and training sessions.

3. Price and payments

Payments are made by card or bank transfer through Stripe. Each phase begins once its payment is received.

4. Background check

You will be working with children. Before we begin setup, you must complete our background check and it must show no criminal record. If your background check does not come back clear, we will end this Agreement and refund Payment 1. The background check fee is paid to the screening company and is not refunded by us.

5. Your license, and no reselling

We own our curriculum, lesson materials, website template, StarCode software, training and methods (the "Materials"). We give you a personal, non-exclusive, non-transferable license to use the Materials in your own teaching business only. You may not sell, resell, share, copy, sublicense or give the Materials to anyone else, and you may not use them to set up or train another person's business.

What you keep depends on how far you go:

• After Payment 2: you keep your website and the starter lessons for good, plus free StarCode.
• After Payment 3: you also keep the full curriculum library for good.
• Coaching calls and updates continue only while you are in an active phase or on the monthly plan.

6. What you own

You own your business, your business name, your logo, your domain, your website content, your student and parent information, and your income. We claim no ownership of any of them.

7. Your brand

You run your business under your own name and brand. You may not use the Star Kids Robotics, Star Kids Academy or StarCode names or logos as your business name or brand without a separate written agreement with us.

8. No income promises

We do not promise or guarantee that you will earn any amount of money. Your results depend on your own work, your area, the market and other things outside our control. Any examples we share are not a promise of what you will earn.

9. Independent business

You run your own independent business. This Agreement is not a franchise, partnership, joint venture or employment. You are responsible for your own taxes, insurance, licenses, and for following all laws that apply to teaching and caring for children.

10. Confidentiality

You will keep our Materials and anything we share privately with you confidential, and will not share them with anyone outside your own business.

11. Refunds

Each payment covers services and digital materials already delivered to you, so payments are not refundable except as stated in section 4. We may approve other refund requests at our own choice.

12. Quitting at any time

You may stop at any time by telling us in writing. You never owe a payment for a phase you have not started. Payments already made are not refunded (except under section 4), and you keep what section 5 says you keep at the point you stop. If you stop before Payment 2, you do not receive the website or the Materials. We may end this Agreement if you break section 5 (no reselling), do not pay, or put children's safety at risk. If we end it because you broke section 5, your license to the Materials ends and you must stop using them.

13. Limit of liability

We are not responsible for lost profits or for indirect or consequential damages. Our total liability under this Agreement will never be more than the amount you paid us in the 12 months before the claim.

14. Indemnity

You agree to cover us for any claims, costs or damages that come from your business, your classes, or your breaking of this Agreement.

15. California law

This Agreement is governed by the laws of the State of California. Any legal dispute will be handled in Santa Clara County, California.

16. Whole agreement and electronic signatures

This is the whole agreement between us. Changes must be in writing and agreed by both of us. Adopting your signature, initialing each section and signing below is your legal electronic signature, the same as signing on paper.
